1. Introduction

These Terms and Conditions, together with any order, invoice, checkout confirmation, publisher agreement, written approval, marketplace instruction, email confirmation, or related written communication, form the agreement between Reignpoint Media and the person or entity using our website, marketplace, publisher partner program, or services.

Reignpoint Media is a U.S.-based agency located in Charlotte, North Carolina. These Terms apply to media buyers, publishers, media partners, website owners, agencies, brands, advertisers, and any other user who accesses or uses Reignpoint Media’s website, marketplace, services, order process, publisher submission process, or communication channels.

By using our website, creating an account, submitting an order, submitting a website for publisher review, accepting a placement opportunity, communicating with our team, or using any Reignpoint Media service, you agree to these Terms.

If you are using Reignpoint Media on behalf of a company, agency, publisher, client, brand, or other organization, you represent that you have authority to bind that entity to these Terms.

2. Definitions

The following terms are used throughout these Terms:

“Reignpoint Media,” “we,” “us,” or “our” means Reignpoint Media and its website, marketplace, team, representatives, services, systems, and related business operations.
“User,” “you,” or “your” means any person or entity accessing our website or using our services.
“Media Buyer” or “Buyer” means a customer, agency, advertiser, brand, or website owner purchasing or requesting publisher placements, content, link building, digital PR, guest posts, sponsored editorial placements, or related services.
“Publisher,” “Media Partner,” or “Partner” means a website owner, publisher, media company, or authorized representative submitting a website or accepting placement opportunities through Reignpoint Media.
“Marketplace” means any Reignpoint Media platform, page, dashboard, list, database, spreadsheet, catalog, quote, or website interface showing publisher opportunities, placement details, prices, metrics, categories, or order options.
“Services” means link building, publisher placements, content placement, guest posting, sponsored editorial placement, content creation, content ordering, marketplace access, publisher coordination, campaign support, reporting, and related services.
“Placement” means a published article, link insertion, sponsored post, guest post, content placement, media mention, or other approved publication on a publisher website.
“Customer Materials” means all URLs, anchor text, claims, content, files, instructions, keywords, brand names, trademarks, images, data, topics, and other materials provided by a Buyer or User.
“Publisher Content Rules” means a publisher’s requirements, restrictions, editorial guidelines, accepted topics, prohibited topics, link rules, sponsored disclosure rules, turnaround times, pricing, and publication standards.

3. Reignpoint Media Services

Reignpoint Media provides a marketplace and agency service that helps media buyers find publisher placement opportunities and helps approved publishers receive relevant paid placement opportunities.

Our Services may include, but are not limited to:

Marketplace access for publisher placements;
Link building and off-page SEO support;
Publisher placement coordination;
Guest post and sponsored editorial placement coordination;
Content product selection before checkout;
Article preparation, review, and formatting;
Order communication between Buyers and Publishers;
Live URL verification and delivery;
Publisher review and media partner onboarding;
Custom campaign recommendations and strategy support.

Reignpoint Media may use employees, contractors, vendors, writers, editors, publishers, media partners, or other third parties to perform all or part of the Services.

Reignpoint Media acts as a marketplace operator, agency, coordinator, and intermediary between Buyers and independent Publishers. Publishers are independent parties and are not employees, agents, partners, or legal representatives of Reignpoint Media.

4. Terms for Media Buyers

Media Buyers use Reignpoint Media to find and purchase publisher placements, link building services, content products, guest posts, sponsored editorial opportunities, and related services.

4.1 Buyer Responsibilities

Buyers are responsible for providing accurate and complete order details, including the target URL, anchor text, content notes, campaign instructions, preferred topics, restricted topics, required disclosures, legal requirements, and any claims that may appear in content.

Buyers are solely responsible for ensuring that Customer Materials comply with applicable laws, advertising rules, intellectual property laws, consumer protection rules, industry regulations, client requirements, and platform requirements.

4.2 Buyer Approval

Buyers acknowledge that publisher availability, pricing, editorial rules, disclosure requirements, publication timelines, and content standards may change. Reignpoint Media may reject, modify, pause, or cancel an order if the requested placement is unavailable, unsuitable, prohibited by a publisher, legally risky, or inconsistent with our standards.

4.3 No Use as a Lead List

Buyers may not use the Reignpoint Media marketplace, publisher data, placement listings, quotes, samples, screenshots, or publisher information as a lead list for direct outreach, bypassing Reignpoint Media, scraping publisher contacts, or avoiding marketplace ordering.

Any Buyer who uses marketplace information to bypass Reignpoint Media may have access suspended or terminated. Reignpoint Media may pursue recovery for proven losses, unpaid fees, investigative costs, and other available remedies.

5. Terms for Publishers and Media Partners

Publishers may submit their websites to Reignpoint Media for review. Submission does not guarantee acceptance into the marketplace or receipt of paid placement opportunities.

5.1 Publisher Review

Reignpoint Media may review submitted publisher websites for content quality, niche relevance, organic visibility, authority metrics, outbound link behavior, editorial standards, publication history, site ownership, communication reliability, and overall marketplace fit.

Reignpoint Media may accept, reject, pause, remove, or re-review any publisher website at any time and for any reason.

5.2 Publisher Representations

Publishers represent and warrant that:

They own, operate, or are authorized to represent the submitted website;
All pricing, metrics, rules, restrictions, and payment details submitted to Reignpoint Media are accurate;
They have the right to publish approved content and links on the submitted website;
They will follow their own stated content, disclosure, and publication rules;
They will not misrepresent traffic, authority, ownership, editorial standards, or publication terms;
They will notify Reignpoint Media of ownership changes, pricing changes, site penalties, major traffic changes, or publication rule changes.

5.3 Publisher Payment

Approved publishers receive the agreed publisher asking price for a completed placement unless otherwise agreed in writing. Publisher payment is processed after approved content is published, the live URL is provided, and Reignpoint Media verifies the placement.

Unless otherwise agreed in writing, Reignpoint Media aims to process publisher payment within 48 hours after the approved content is live and verified. Payment timing may be affected by payment provider delays, incomplete payment details, suspected fraud, publisher noncompliance, missing live URLs, incorrect publication, or unresolved order issues.

5.4 Publisher Removal and Link Stability

Publishers may not remove, alter, noindex, block, redirect, or materially change an approved placement shortly after publication unless required by law, agreed in writing, or approved by Reignpoint Media. Publishers must notify Reignpoint Media if a placement is removed, altered, or affected by technical issues.

6. Orders, Delivery, and Availability

An order may be placed through the Reignpoint Media marketplace, a checkout process, direct communication, invoice, email, or another written method approved by Reignpoint Media.

An order is not guaranteed until accepted, paid if required, and confirmed by Reignpoint Media. Reignpoint Media may decline any order for any reason, including publisher unavailability, restricted topics, content risk, legal concerns, inaccurate order details, suspected abuse, payment issues, or failure to meet publisher requirements.

6.1 Delivery Timelines

Delivery timelines are estimates unless expressly stated as guaranteed in writing. Publisher review, editorial approval, content revisions, payment processing, weekends, holidays, technical issues, and third-party delays may affect delivery timing.

6.2 Substitutions

If a selected publisher cannot complete an order, Reignpoint Media may offer a replacement publisher, credit, refund, or alternative solution at its discretion and according to the order circumstances.

6.3 Live URL Delivery

Delivery is generally considered complete when the approved placement is live and the live URL has been provided to the Buyer, unless otherwise agreed in writing.

7. Pricing, Payments, Refunds, and Credits

Buyers agree to pay the pricing shown in the marketplace, quote, checkout, invoice, or written agreement. Prices may change at any time before an order is placed and accepted.

7.1 Buyer Payments

Reignpoint Media may require payment before work begins. Payment methods, invoice terms, checkout terms, taxes, and service charges may vary by order type.

Unless otherwise stated, prices are listed in U.S. dollars. Buyers are responsible for any applicable taxes, payment processing fees, bank fees, currency conversion fees, chargeback fees, or other transaction-related costs.

7.2 Late Payments

If invoice payment terms are offered and a Buyer fails to pay on time, Reignpoint Media may pause services, withhold delivery, suspend account access, charge late fees where permitted by law, recover collection costs, or terminate future access.

7.3 Refunds and Credits

If an order cannot be completed because a publisher is unavailable, refuses the topic, changes its rules, removes the opportunity, or cannot publish the placement, Reignpoint Media may issue a marketplace credit, replacement placement option, partial refund, or full refund depending on the order status and work already performed.

Refunds may not be available for completed placements, approved content work, custom strategy work, completed writing, completed outreach, accepted publisher work, or orders where the Buyer provided inaccurate or noncompliant information.

7.4 Chargebacks

Buyers agree to contact Reignpoint Media first to resolve billing issues. Improper chargebacks, payment reversals, or disputes may result in account suspension, cancellation of active orders, collection activity, and recovery of fees where permitted by law.

8. Content, AI, Human Review, and Customer Materials

Reignpoint Media may provide content preparation, content product options, editing, formatting, article writing, topic support, and related services. Available content options may vary by order, publisher, placement type, and marketplace configuration.

8.1 Content Products

Buyers may be offered content product choices before checkout or order confirmation. Content product options may include different word counts, writing methods, research depth, internal links, trust links, images, media, topic support, human-written content, AI-assisted content, or other add-ons.

Content product descriptions are general service descriptions and do not guarantee publisher acceptance, specific ranking outcomes, specific traffic outcomes, or exact content structure unless expressly agreed in writing.

8.2 No Low-Quality Spun Content

Reignpoint Media aims to provide relevant, readable, useful content for real readers. We do not intentionally present Buyers with low-quality spun content, copied filler, or irrelevant article material.

8.3 AI-Assisted Content

Reignpoint Media may use AI-assisted workflows, research support, drafting tools, editing tools, or automation when appropriate or requested. However, content quality, relevance, review, and final preparation remain human-driven where required by the order, publisher rules, or Reignpoint Media standards.

8.4 Buyer Responsibility for Claims

Buyers are responsible for the truthfulness, legality, substantiation, and compliance of all claims, statistics, product descriptions, financial claims, medical claims, legal claims, regulated-industry claims, testimonials, endorsements, and instructions they provide.

Reignpoint Media may fact-check content when facts are included, but Reignpoint Media does not accept responsibility for verifying every Buyer claim unless expressly agreed in writing.

8.5 Intellectual Property

Buyers represent that they have rights to use all trademarks, brand names, logos, images, videos, product information, copy, and other materials they provide. Buyers grant Reignpoint Media the right to use Customer Materials as needed to perform the Services.

9. Marketplace Access and Account Rules

Reignpoint Media may offer account access, marketplace access, private lists, publisher details, placement data, dashboards, order tools, or other user features.

Users agree not to:

Scrape, copy, export, resell, or redistribute marketplace data;
Use publisher information as a direct outreach list;
Attempt to bypass Reignpoint Media after discovering a publisher through us;
Share account access with unauthorized users;
Use bots, crawlers, automated scripts, or data extraction tools;
Interfere with website security, marketplace operations, or user accounts;
Submit false, misleading, illegal, defamatory, infringing, or harmful materials;
Use Reignpoint Media for spam, malware, fraud, deceptive advertising, or illegal activity.

Reignpoint Media may suspend or terminate access for any user who violates these Terms, misuses marketplace information, abuses the order process, fails to pay, submits unlawful materials, or creates risk for Reignpoint Media, Buyers, Publishers, or third parties.

10. Legal Compliance and Advertising Disclosures

Buyers and Publishers are responsible for complying with all applicable laws, rules, regulations, platform policies, advertising standards, consumer protection laws, intellectual property laws, privacy laws, and industry-specific requirements.

This may include requirements related to sponsored content, endorsements, advertising disclosures, affiliate disclosures, financial promotions, legal advertising, medical content, restricted products, consumer claims, intellectual property rights, and data protection.

10.1 Sponsored Content and Disclosure

Some Publishers may require sponsored labeling, advertising disclosures, affiliate disclosures, nofollow attributes, sponsored attributes, or other publication requirements. Buyers agree that publisher disclosure rules may apply and may affect how content is presented.

Publishers are responsible for following their own disclosure policies and applicable legal requirements for sponsored, paid, affiliate, or promotional content.

10.2 Regulated and Restricted Topics

Reignpoint Media and Publishers may reject or restrict certain topics, including but not limited to adult content, gambling, CBD, cannabis, nicotine, alcohol, firearms, financial products, medical claims, legal claims, supplements, political content, cryptocurrency, payday loans, or other regulated categories.

Acceptance of a topic by one publisher does not mean another publisher will accept the same topic.

11. No SEO, Ranking, Revenue, or Traffic Guarantees

Reignpoint Media provides link building, publisher placement, marketplace, and content-related services. We do not guarantee specific rankings, traffic increases, indexing speed, revenue, leads, sales, domain authority changes, search engine treatment, algorithmic outcomes, or third-party platform results.

Search engine rankings depend on many factors outside Reignpoint Media’s control, including website quality, competition, search algorithms, technical SEO, content quality, user behavior, existing authority, brand strength, and market conditions.

Any examples, case studies, statistics, opinions, recommendations, marketplace metrics, or strategy comments are informational and do not create a guarantee of results.

12. Indemnification and Limitation of Liability

12.1 User Indemnification

You agree to defend, indemnify, and hold harmless Reignpoint Media, its owners, officers, employees, contractors, vendors, representatives, affiliates, Publishers, and service providers from and against any claims, liabilities, damages, losses, costs, penalties, fines, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the website, marketplace, or Services;
Your Customer Materials, instructions, claims, content, URLs, anchor text, or brand assets;
Your violation of these Terms;
Your violation of any law, regulation, advertising standard, platform policy, or third-party right;
Your misuse of marketplace or publisher information;
Your failure to pay amounts due;
Your conduct with Buyers, Publishers, customers, regulators, or third parties.

12.2 Limitation of Liability

To the maximum extent permitted by law, Reignpoint Media shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including loss of revenue, loss of rankings, loss of traffic, loss of business opportunity, reputational harm, data loss, or costs related to investigating or correcting SEO outcomes.

To the maximum extent permitted by law, Reignpoint Media’s total liability for any claim shall not exceed the amount paid by the Buyer for the specific order giving rise to the claim, or one hundred dollars ($100) if no order payment was made.

12.3 Third-Party Acts

Reignpoint Media is not responsible for the acts, omissions, publication decisions, delays, removals, website changes, editorial rules, legal compliance, technical issues, or business practices of independent Publishers or other third parties.

13. Confidentiality

Users may receive confidential or non-public information through Reignpoint Media, including publisher pricing, marketplace data, private publisher lists, order details, campaign information, business strategy, customer information, internal processes, content drafts, or communication records.

Users agree not to disclose, resell, publish, share, scrape, export, or misuse confidential Reignpoint Media information except as required to use the Services in an authorized way.

Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, independently developed without use of confidential information, lawfully received from another source, or required to be disclosed by law.

14. Website Data, Crawling, and Privacy

Reignpoint Media may review, crawl, or analyze a Buyer’s website, publisher website, target URL, content, metadata, public pages, marketplace submissions, or related publicly available information to perform Services, evaluate campaign fit, prepare content, assess publisher quality, or improve our marketplace.

Reignpoint Media may use third-party tools to collect or estimate website metrics, including traffic, authority, keywords, categories, indexing, language, country, and other SEO-related information. These metrics may be estimates and may not always be complete, current, or accurate.

Personal information is handled according to the Reignpoint Media Privacy Policy. If these Terms conflict with the Privacy Policy regarding personal data, the Privacy Policy will control for that personal data issue.

15. Changes to Terms, Services, and Pricing

Reignpoint Media may update these Terms at any time by posting a revised version on the website. The updated version will be effective when posted unless a different effective date is stated.

Reignpoint Media may modify, suspend, or discontinue website features, marketplace access, publisher listings, pricing, content products, payment methods, order processes, or Services at any time.

Continued use of the website, marketplace, or Services after changes are posted means you accept the updated Terms.

16. Force Majeure

Reignpoint Media is not liable for delay or failure to perform caused by events outside its reasonable control, including natural disasters, war, terrorism, labor disputes, power failures, internet outages, cyberattacks, payment processor issues, platform outages, government actions, publisher disruptions, hosting failures, technical failures, or other events beyond reasonable control.

17. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to Reignpoint Media, the website, marketplace, Services, orders, publisher submissions, or user relationships shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.

Unless otherwise required by applicable law, any dispute shall be brought in the state or federal courts located in Mecklenburg County, North Carolina, and each party consents to personal jurisdiction and venue in those courts.

Before filing any legal claim, the parties agree to make a good-faith effort to resolve the dispute by written notice and reasonable discussion.
